Eric Jones practices in the area of corporate and business law, counseling privately held companies and their owners in structuring, negotiating, and closing strategic transactions. His experience includes stock and asset acquisitions, financings, mergers, entity conversions and dissolutions, commercial transactions, and corporate governance matters. Eric advises on entity formation, investment-banker and accounting-firm engagement letters, term sheets and letters of intent, shareholder agreements, and general commercial contracts, including master services agreements, statements of work, and indemnity. Eric earned his Master of Laws in Taxation and works closely with clients’ tax advisors to address tax issues that may impact pending transactions.
My focus is on the legal issues related to mergers and acquisitions and private equity investments.
Clients want efficient service that does not lose sight of their goals and objectives.
The big challenges are risk exposure and preservation of the economics of the desired business deal. I help clients to understand the change in risk exposure and deal economics caused by proposals from counsel to the other party, such as an acquirer, investor, etc.
